The Governing Council is our governing body that sets our strategic direction, takes key decisions and ensures we fulfil our regulatory role of protecting the public.

ROLES / RESPONSIBILITY OF THE GOVERNING COUNCIL

In carrying out its responsibilities, the Governing Council of UNMC has the following roles:

  1. Assuring Mission

A Mission Statement describes what the council stands for, the overall core purpose and values/objectives and reason for existence of the Council. Like any other organization, it declares the difference the Council seeks to make in the world. It is therefore the Heart of the Council and failure of which implies failure of leadership.

Members are therefore expected to;

  1. Understanding Council’s purpose to improve opportunities to do what they do best every day.
  2. Clarify and focus attention to ensure that internal and external stakeholders understand the Council and what it is attempting to accomplish and push towards the desired results.
  • Have a clear sense of what matters most to help members determine the best path for the Council and helps them set priorities. This will inspire conviction and dedication.
  1. Must be able to link Council activities to the needs of the society which it serves.
  2. Make decisions in light of Mission. Awareness of mission guides decision making and judgment.
  3. Should assess whether people in management roles have the skills, knowledge, and talent to manage the mission.

 

  1. Embracing the VISION

The vision reflects the ideal image of the Council in the future. 

Members are expected to;

  1. Act and think beyond today to shape the public’s understanding of why they should work with the Council.

 

  1. Making VALUES

Values are increasingly important in strategic planning. They often drive the intent and direction for planning.

Members are expected to;

  1. To know what is important/ core priorities in the implementation of Council’s mission or core mandate.
  2. Aligning the mission and purpose of the Council with the mandate of the Council and performance measures.
  • Make values explicit to set the ethical tone for the Council

 

  1. Setting STANDARDS

Admin elaborate in terms of financial, personnel, and health care policies

 

  1. MONITORING performance

In establishing goals and monitoring outcomes of the Council, the Governing Council is responsible for;

  1. Monitoring the Council performance in fulfilling its mission.
  2. Assuring the council has the necessary resources and is fiscally healthy
  • establishing policies, including but not limited to:
  1. Approval for the selection and dismissal of the secretariat
  2. Review the performance of the Council members and secretariat
  3. Establishing operating policies including human resources and financial management policies
  4. Establishing insurance and health care policies including scope and availability
  5. evaluating Chairperson’s effectiveness

 

Apart from the above the Governing Council has specific functions and members will generally assume responsibilities in the following areas:

 

  1. Budget and Finance
  2. Committee members approve the budget, which is generally prepared by the Accountant and reviewed by the Accounting Officer.
  3. They monitor program expenditures and determine sound fiscal policy and internal control practices. They assume responsibility for the fiscal accountability of the Council.
  • members ensure that adequate funds are available for financing the Council’s

operations.

  1. Receive and discuss audited books of accounts from the Auditor General.
  2. Recommend to the Minister of Health, appropriate sources of revenue and other monies payable to the council.
  3. Monitor the implementation of corporate annual work plan and budget, including overseeing the capital investments and expenditures.
  • Formulating, Reviewing and guiding corporate strategy, Risk policy, Business Plans and Budgets

 

  1. Planning:
  2. Members of the Council approve the long-range plans of the Council, including the program’s goals and objectives. They assist the staff in the development of these plans and set organizational priorities for action.

 

  1. Personnel: organizational structure

Do they have any advisory role to the Registrar?

  1. The Committee determines the salary scales and benefits for the staff, and it develops personnel policies. (However, staff members are hired, evaluated, and, if necessary, removed by the Registrar, not the Governing Council.)
  2. Recruit and review the terms and conditions of service for council employees.
  • Exercise discipline over its employees.

 

  1. Board Development:

The Council determines the structure of the Council and committee membership. It nominates and selects new members and sets the standards for maintaining an effective and qualified Council.

 

  1. Public Relations:

The Governing Council communicates with community leaders, and other interested parties about the Council programs. It represents the Council in the community, and it advises the staff in the development of a public relations plan.

 

  1. Policy:
  2. Members of the Council determine the Council’s policies. Policies can be defined as the broad guidelines that provide a framework for future decision making. Policies are reflected in procedures, which are the more specific, narrow parameters that are used in Council decision making.

Procedures clarify what steps must be taken, what rules must be followed, and who must be included in the process. However procedures are generally formulated by the staff rather than by the Governing Council.

  1. Approve council policies, guidelines and standards aimed at implementing provisions of the UNMC Act.
  • Monitor and manage potential conflicts of interest within its members as well as those between Management and the Council members.
  1. Exercise discipline over the Nursing and midwifery professionals.
  2. Approve or withdraw recognition of Nursing and Midwifery Training Institutions.
  3. Approve membership of committees.
  • Approve recommendations of committees.
  • During the members’ three-year term, each member is expected to be willing to serve in at least one leadership role. Leadership roles might include:
  1. Committee Chair, vice, Secretary
  2. Ad-Hoc Committee Chair

 

Speaking as One Voice:

  1. Members may not attempt to exercise individual authority except as explicitly set forth in Council Bylaws and/or policies.
  2. Council members may not speak individually for the Council unless authorized by the full Governing Council.
  • Once a decision has been reached on any Council issue, the Board will speak with one voice.
